UNITED FACULTY OF FLORIDA

POLITICAL ACTION COMMITTEE
BYLAWS

ARTICLE I. NAME

Section 1. The committee of continuous existence shall be known as the United Faculty of Florida-Political Action Committee (UFF-PAC) and shall be a non-profit, unincorporated organization.

ARTICLE II. AFFILIATIONS

Section 1. UFF-PAC shall cooperate with FEA-PAC and NEA-PAC and shall represent the political interests of UFF to its affiliates.

Section 2. The Chairperson of UFF-PAC or his/her appointee shall serve as the delegate to the FEA-PAC Governing Board.

ARTICLE III. PURPOSE

Section 1. In order to support and strengthen the commitment of citizens and government of the State of Florida to excellence at all levels, UFF-PAC shall seek to:

a) Assist faculty and professional employees in organizing for more effective political action.
b) Educate faculty and professional employees and members of the public on pertinent political and educational issues.
c) Support and endorse qualified candidates for public office.
d) Raise and disburse funds for all of the foregoing.

ARTICLE IV. MEMBERSHIP

Section 1. Any member of UFF who makes a voluntary contribution of at least one dollar per year shall be eligible for active membership in UFF-PAC. Persons not eligible may contribute to UFF-PAC and shall be considered associate members without voting privileges.

ARTICLE V. OFFICERS, BOARD OF DIRECTORS

Section 1. The Chairperson of the UFF-PAC shall be the President of UFF who is elected by the UFF membership biennially by open nomination and secret ballot.

Section 2. The Vice-Chairperson of UFF-PAC shall be the Chairperson of the UFF Government Relations Committee.

Section 3. The Treasurer of UFF-PAC shall be a member of UFF appointed by the President and ratified by a majority of the UFF-PAC Board of Directors.

Section 4. The Board of Directors of the UFF-PAC shall be composed of the Chairperson, Vice-Chairperson, and Treasurer of the UFF-PAC and the members of the UFF Steering Committee. The Board of Directors will act on recommendations from the Governing Board of the PAC.

Section 5. The Chairperson and Treasurer shall perform such duties as are customarily performed by the Chairperson and the Treasurer of a political committee of continuous existence as required by the state and federal statute. The Treasurer may designate a representative to file necessary forms and reports.

Section 6. The Vice-Chairperson of the UFF-PAC shall perform such duties as directed by the Chairperson of the UFF-PAC and shall chair the Board in the absence of the Chairperson of UFF-PAC. The Vice-Chairperson of the UFF-PAC shall bring the recommendations of the Governing Board to the Board of Directors.

ARTICLE VI. UFF-PAC GOVERNING BOARD

Section 1. The officers of UFF-PAC shall constitute the UFF-PAC Governing Board. The Governing Board shall make recommendations to the Board of Directors and shall have the authority to act for the Board of Directors between its meetings. Any actions taken by the Governing Board on behalf of the Board of Directors will be reported, in writing, to the Board of Directors.

ARTICLE VII. PARLIAMENTARY AUTHORITY

Section 1. All meetings shall be governed by Robert's Rules of Order, revised.

ARTICLE VIII. AMENDMENTS

Section 1. Proposed amendments to these bylaws shall be mailed to all Board of Directors members at least 30 days prior to the meeting at which proposed action is to be taken. A majority of the Board members present and voting shall be sufficient to adopt the amendment.

ARTICLE IX. DISSOLUTION

Section 1. In the event of the dissolution of UFF-PAC, all residual funds shall be distributed by the UFF-PAC Governing Board.
